1. Parties and scope

This Agreement is between [Freelancer Name] (the Contractor) and [Client Name] (the Client), effective [Date].

The Contractor will provide the services described in the attached Statement of Work. Anything not listed there is out of scope and may be quoted separately.

2. Payment

Fee: [amount] payable [hourly / fixed / per milestone].
Invoices are due within 14 days. Late amounts accrue interest at [rate] per month.
A deposit of [amount] is due before work begins.

3. Intellectual property

On full payment, the Contractor assigns the final deliverables to the Client. The Contractor keeps ownership of pre existing tools, libraries, and know how, and may show the work in a portfolio unless the Client requests otherwise in writing.

4. Termination

Either party may end this Agreement with 14 days written notice. The Client pays for all work completed and approved up to the termination date.
